In consideration of the sum of one dollar in hand paid and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto intending to be legally bound hereby agree as follows:

* Consignor hereby agrees to indemnify and hold harmless, Westmoreland Sale for Kids, LLC(WSFK), Lisa M. Enlow, their heirs, executors, administrators, assigns, agents and subagents (collectively "LLC") from any and all actions and causes of action at law or in equity whatever including but not limited to counsel fees, litigation costs and costs, associated with or arising out of any item delivered by Consignor to WSFK LLC, the sale or other disposition of same, consignor coming onto the real property whereat the Consignment Sale will occur and any and all other undertakings by Consignor pursuant hereto.

* Consignor does hereby release, remiss and forever discharge Westmoreland Sale for Kids, LLC, Lisa M. Enlow, their heirs, executors, administrators, assigns, agents and subagents (collectively "LLC"), the owner, lessee and lesser of  the space where the sale is being held, any volunteer or paid participants in the sale their insurers, heirs, executors, administrators, assigns, agents, and subagents from any and all actions and causes of actions at law or in equity whatever related to, associated with or arising out of any item delivered by Consignor to WSFK LLC, the consignor coming onto the real property whereat the Consignment Sale will occur and any and all other undertakings by LLC pursuant hereto.

* Westmoreland Sale for Kids LLC. Reserves the right to, limit the number of consignors and the number of items sold by the consigners.

* Westmoreland Sale for Kids LLC. , Lisa M. Enlow, their heirs, executors, administrators, assigns, agents and subagents is not responsible for lost or stolen items.

* Consignor agrees that on the last day of the sale (Sunday Sept 26, 2010 (from 9am - 2pm), all unsold items will be sold for half of the price originally designated by the seller unless when entering the price the consignor chooses not to discount at time of ordering barcodes.

* Consignor  understands that any item with any information missing from tag will be placed on the Lost and Found table. Any items not claimed from lost and found by the designated close of the pick up period will become the property of Westmoreland Sale for Kids, LLC.

· Consignor agrees that any items not picked up by the end of the designated pick up time (Sunday Sept 26, 2010 from 7:00pm until 8:00pm) will become property of Westmoreland Sale For Kids, LLC.

· Consignor agrees that any unsold items bearing a tag marked with an X in the lower left hand corner will be donated to charity’s of WSFK LLC’S choice.

· Consignor agrees that no claims will be made against the Westmoreland Sale For Kids, LLC, Lisa M. Enlow , their heirs, executors, administrators, assigns, agents and subagents (collectively "LLC") for any discrepancies involving items placed in the sale. * The item list in no way guarantees that an item was actually placed in the sale. The tags removed at purchase time will determine all sales.

 Consignor  agrees to cash check issued as proceeds from the sale within 60 days.

· Consignor proceed checks will be mailed approximately 2 weeks after the close of the sale. This time is needed for banking purposes.

· Consignor agrees that the distribution of proceeds from the sale of each item for the sale dates Sept 22,23,24,25 & 26 2010 will be as follows. A 12-dollar registration fee ($12) will be deducted from each consignor’s total earnings. Consignor will receive 70% and Westmoreland Sale for Kids, LLC will receive 30% as a consignment fee.

________        I understand that by appearing in a public venue as a shopper, consignor or volunteer,
